TERMS for open target initiative

1. Program Overview

The Open Target Initiative (OTI) is a collaborative research enablement and resource program for understanding protein target behavior and function in cells.

OTI provides participating research groups with access to MICRO-TAG® technology, reagents, and scientific resources to support exploratory studies of protein targets in their native cellular environment.

OTI is designed to support:

• Target validation

• Cellular biophysical characterization

• Target tractability assessment

• Evaluation of tool molecules and therapeutic candidates

• Investigation of challenging target classes, including transcription factors, membrane proteins, and protein complexes

Participation is selective and subject to scientific fit, program capacity, and resource availability.

2. Eligibility

OTI is currently focused on supporting:

• Academic research laboratories

• Non-profit research institutions

• Government research organizations

Commercial organizations interested in MICRO-TAG® technology are encouraged to contact CellarisBio regarding reagent access, scientific services, and partnership opportunities.

Applications are reviewed based on scientific relevance, feasibility, instrument compatibility, and available program capacity.

3. Program Resources

Approved participants may receive:

• MICRO-TAG® Real-Time Cell Target Engagement reagents

• Access to validated target systems

• Target plasmids and supporting materials

• Experimental onboarding and scientific guidance

• OTI Welcome Guide and workflow resources

• Access to OTI educational content, workshops, and community activities

Program resources are provided in quantities appropriate for exploratory research studies and may vary depending on the approved project scope.

4. Fees for Shipment and Custom Constructs

OTI is designed to provide selected academic and non-profit research groups with access to MICRO-TAG® technology and research resources for exploratory studies.

Participants are responsible for all shipping and logistics costs associated with delivery of OTI materials. Unless otherwise agreed, shipments will be arranged through FedEx and billed to the participant or shipped using the participant's FedEx account.

For studies involving user-selected targets, participants are responsible for costs associated with generation, cloning, synthesis, or preparation of MICRO-TAG® expression constructs and related target-specific materials.

Additional project-specific costs, if any, will be communicated and agreed upon prior to participation.

CellarisBio reserves the right to determine the scope of materials and resources provided under OTI based on project requirements, program capacity, and resource availability.

5. Permitted Use

OTI is intended to support foundational and translational research through exploratory use of MICRO-TAG® technology.

Permitted activities include:

• Target validation studies

• Cellular biophysical characterization

• Mechanistic investigations

• Evaluation of tool compounds

• Evaluation of therapeutic candidates in exploratory research settings

• Publication-oriented academic research

OTI participation does not grant rights to commercialize, sublicense, reproduce, transfer, reverse engineer, or redistribute MICRO-TAG® technology, reagents, or workflows.

Commercial deployment, platform integration, screening campaigns, fee-for-service activities, and other commercial uses require a separate agreement with CellarisBio.

6. Participation Expectations

Participants agree to:

• Designate a primary point of contact

• Use OTI resources for non-commercial research purposes

• Provide program feedback within approximately two months of receiving materials

• Share non-confidential observations, experiences, or representative findings when appropriate

Participants may be invited to contribute to case studies, workshops, webinars, testimonials, or application notes highlighting their experience with OTI and MICRO-TAG® technology.

7. Data Ownership

All experimental data, scientific findings, and discoveries generated by participating groups remain the property of the participating institution and investigators.

Participation in OTI does not transfer ownership of participant-generated research data to CellarisBio.

Participants retain full discretion regarding publication, presentation, and dissemination of their scientific findings, subject to applicable laws and institutional policies.

8. Intellectual Property

MICRO-TAG® technology, reagents, and workflows remain the property of CellarisBio.

Participants retain ownership of:

• Their biological samples
• Experimental results and discoveries

Participants may not:

• Modify and alter MICRO-TAG® reagents in any way outside the provided protocol
• Reproduce, reverse engineer reagents
• Transfer reagents to third parties

Intellectual property relating to MICRO-TAG® technology, reagents, assay designs, workflows, and associated know-how remains the property of CellarisBio. Intellectual property arising from participant research findings remains the property of the participating institution.

9. Program Scope & Limitations

OTI is intended to support exploratory research studies aimed at understanding protein target behavior and function in cells.

Participation in OTI does not guarantee access to specific targets, reagents, workflows, technical services, or project resources. The scope of support provided under OTI is determined by CellarisBio based on scientific fit, program capacity, technical feasibility, and resource availability.

OTI resources are provided for limited exploratory evaluation and are not intended to support large-scale screening campaigns, commercial research activities, fee-for-service activities, or routine operational use.

CellarisBio may modify the scope of participation, available resources, target coverage, or program offerings at any time as OTI continues to evolve.

Participation in OTI does not establish a commercial license, service agreement, partnership agreement, or other commercial rights to MICRO-TAG® technology.

10. Feedback & Program Evaluation

A key objective of OTI is to gather user feedback that helps guide future development of MICRO-TAG® technology, workflows, target coverage, and program resources.

Participants are expected to initiate their OTI study promptly upon receipt of materials and to complete the planned evaluation within approximately eight (8) weeks. Alternative timelines may be approved by CellarisBio on a case-by-case basis.

Participants agree to complete a brief CellarisBio feedback survey upon completion of their OTI study. The survey is intended to capture user experience, workflow performance, experimental outcomes, and recommendations for future improvements.

Participants may also be invited to share additional feedback, non-confidential observations, or representative findings that may help improve the OTI program and MICRO-TAG® technology.

Participation in webinars, workshops, case studies, testimonials, application notes, or other promotional activities is entirely voluntary.

11. Access & Availability

Participation in OTI is limited and subject to available program capacity, reagent availability, scientific fit, and technical feasibility.

Submission of an inquiry or expression of interest does not guarantee acceptance into OTI. CellarisBio reviews prospective projects on a rolling basis and reserves the right to approve, defer, or decline participation requests at its discretion.

Availability of MICRO-TAG® reagents, validated targets, custom target support, and other program resources may vary over time.

CellarisBio may prioritize participation based on scientific alignment with OTI objectives, resource availability, target suitability, and anticipated program impact.

12. Contact

Questions regarding OTI participation, target eligibility, reagent availability, program resources, or these Terms may be directed to the CellarisBio OTI team.
